Draft Resolution to Merge
Stockport College is considering a merger with Trafford College. In order to effect the merger, Stockport College will pass a resolution to transfer all of its assets and liabilities to Trafford College. The draft text of the proposed resolution to merge is as follows:
• Publication of the results of a statutory consultation exercise undertaken by the Corporation of Stockport College (as required under The Further Education Corporations (Publication of Proposals) (England) Regulations 2012);
• The carrying out of due diligence exercises in respect of the Corporation of Trafford College; and
• Publication of the draft resolution of the Corporation of Stockport College to dissolve and provide for the transfer of its assets, rights and liabilities.
The Corporation of Stockport College hereby unconditionally RESOLVES to merge with the Corporation of Trafford College with effect from 28 February 2018, with the Corporation of Stockport College dissolving at one minute past midnight on 28 February 2018 and its assets, rights and liabilities transferring immediately before that time to Trafford College.”
It should be noted that whilst the intended merger date is 28th February 2018 there may be a set circumstances that materialise which will lead to a delay in the current proposed merger date.
